KITTERMAN PLASTICS AND THE MOLDING COMPANY MERGER ANNOUNCEMENT

KANSAS CITY, MO and FARMINGTON, MO - June 13, 2005 - Kitterman Plastics and The Molding Company (TMC) are pleased to announce the merger of their two companies. The combination will create a dynamic partnership and a premier plastics molding company.

"This is an exceptional combination as it brings together each company's respective heritage in the molding industry and deep-seated histories with specific account bases", said Brad Robertson, President of Kitterman Plastics. Kitterman began plastic manufacturing in 1955. TMC was founded by Carl Dobrzeniecki in 1998 after his long tenure with Little Tikes' toy division in Hudson, OH and the Newell-Rubbermaid commercial play facility in Farmington, MO.

"For years, Brad and I have recognized the advantages of combining the two companies," said Carl Dobrzeniecki, President of TMC. "With an abundance of synergies, combining the expertise and services of our two companies will provide exciting new opportunities for all of our customers." The new company will have a balanced mix of proprietary products and custom manufacturing.

The combined management teams will remain in place and lead the new company. Together they have a proven track record of leadership, innovation, and nearly seven decades of industry experience. The corporate office will be maintained in Kansas City with offices and all manufacturing to be located at TMC's state-of-the-art facility in Farmington, Missouri.

A new company name will be announced shortly. The unified corporate strategy includes an aggressive sales and marketing focus aimed at further expansion of all proprietary lines as well as custom molding services.

Combined company sales in 2004 were in excess of $8 million. Kitterman offers three process capabilities: rotational molding, vacuum forming and injection molding. Kitterman recently introduced a line of proprietary products targeting the convenience store and service station markets. The Molding Company provides custom rotational molding, full service design and engineering development for commercial and industrial products. TMC recently installed the largest rock-n-roll molding machine in the United States designed for custom products. TMC also offers a proprietary product line targeting the commercial playground and recreation industry. In addition, both companies provide value-added services including secondary operations, packaging, warehousing and distribution.
